Terms of Service — Concier (tryconcier.com)

1. Agreement to Terms

By accessing or using Concier ("we", "our", "us") at tryconcier.com, or by embedding the Concier widget on your website, you ("you", "user", or "customer") agree to be bound by these Terms of Service ("Terms"). If you are using Concier on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, do not use Concier.

2. Description of Service

Concier is an AI-powered sales agent that website operators ("clients") can embed on their websites via a single script tag. The service includes:

  • An embeddable chat widget that engages website visitors proactively
  • AI-generated, context-aware responses based on your website content and configuration
  • A dashboard for managing widget settings, conversation history, and billing
  • RAG (Retrieval-Augmented Generation) capabilities to ground the AI in your business knowledge
  • Analytics and conversation tracking

We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice.

3. Eligibility

To use Concier, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding agreement
  • Not be located in a jurisdiction where use of this service is prohibited by law
  • Provide accurate and complete information during registration

By creating an account, you confirm that you meet all of the above requirements.

4. Account Registration and Security

4.1 Account Creation

You must create an account to use Concier. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

4.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must:

  • Use a strong, unique password
  • Not share your credentials with any third party
  • Notify us immediately at hello@tryconcier.com if you suspect unauthorized access
  • Not create multiple accounts to circumvent plan limits or abuse promotional or trial access if we offer it

We are not liable for any loss or damage arising from unauthorized access to your account due to your failure to secure your credentials.

4.3 Account Accuracy

Providing false information, impersonating another person or entity, or creating accounts for the purpose of abuse or spam is strictly prohibited and may result in immediate account termination.

5. Subscription Plans and Billing

5.1 Pricing Model

Concier is sold as a subscription (monthly or annual) through Razorpay. Plans include a monthly session allowance (visitor sessions with your widget), with limits such as Starter, Growth, and Scale tiers described on the tryconcier.com pricing page. Your dashboard shows usage against that allowance for the current month. We do not currently sell pay-as-you-go per message; usage is governed by your plan's included monthly sessions.

5.2 Subscription and Access

The live Concier widget on your website requires an active subscription recorded in your account. If you do not have an active paid subscription, the service is not provided for production traffic on your site (preview or demo flows may exist solely at our discretion). We may run promotions or limited evaluations from time to time; any current offer is described on tryconcier.com.

5.3 Billing and Payment

  • Subscriptions are billed in advance on a monthly or annual basis
  • All payments are processed securely by Razorpay
  • By providing your payment details, you authorize us to charge your payment method for the applicable subscription fees
  • Plan prices are shown in USD on tryconcier.com; Razorpay may present or settle charges in another currency or payment method (card, UPI, wallet, etc.) depending on your region and Razorpay settings
  • Applicable taxes may be added depending on your location

5.4 Monthly Session Limits

If your site reaches your plan's monthly session cap within a billing month, new visitor sessions may be refused or blocked until the next monthly period or until you upgrade to a higher plan. We do not automatically bill per extra session beyond the cap in the current product; your remedy is to upgrade or wait for the next cycle.

5.5 Upgrades and Downgrades

You may upgrade or downgrade your plan through the dashboard. Billing effects (including proration, if any) follow Razorpay subscription rules and the options we expose in the product. Downgrades typically take effect at the start of the next billing cycle unless Razorpay processes them differently for your subscription.

5.6 Failed Payments

If a payment fails, we will attempt to retry the charge in line with Razorpay behavior. If the payment remains unpaid after reasonable attempts, your account and widget may be suspended or deactivated until payment succeeds. There is no separate unpaid "free tier" for production use of the embed.

5.7 Price Changes

We reserve the right to change subscription pricing. We will provide at least 30 days' notice via email before any price change takes effect. Continued use of the service after the effective date of a price change constitutes acceptance of the new pricing.

6. Refund Policy

6.1 Monthly Plans

Monthly subscriptions are non-refundable. If you cancel, your access continues until the end of the current billing period and does not auto-renew.

6.2 Annual Plans

For annual plans, you may request a full refund within 14 days of purchase if you are not satisfied. After 14 days, annual subscriptions are non-refundable. See our Refund Policy for details.

6.3 Exceptions

We may issue refunds at our sole discretion in cases of extended service outages (greater than 24 consecutive hours) or technical failures that are directly attributable to Concier and that substantially impaired your use of the service.

7. Acceptable Use Policy

You agree to use Concier only for lawful purposes and in a manner consistent with these Terms. You must not use Concier to:

  • Engage in or facilitate illegal activity of any kind
  • Harass, threaten, deceive, or mislead website visitors
  • Deploy the widget on websites that contain or promote illegal content, hate speech, adult content, or content that targets minors
  • Attempt to reverse-engineer, decompile, disassemble, or extract the source code of Concier
  • Use the service to scrape, harvest, or collect data from other websites or users at scale
  • Impersonate Concier, OpenAI, or any other person or organization in AI responses
  • Attempt to manipulate or jailbreak the AI to produce harmful, misleading, or offensive outputs
  • Use Concier as part of any automated system designed to spam, defraud, or exploit users
  • Resell or sublicense access to the Concier API or platform without explicit written permission
  • Conduct load testing, penetration testing, or security scanning against Concier infrastructure without prior written consent
  • Upload or configure content that contains malware, viruses, or malicious code

Violation of this policy may result in immediate account suspension without refund.

8. Your Content and Data

8.1 Your Content

You may upload or configure business content (product descriptions, FAQs, knowledge base articles, URLs, etc.) to power the AI responses in your Concier widget ("Your Content"). You retain full ownership of Your Content.

8.2 License to Concier

By uploading Your Content, you grant Concier a limited, non-exclusive, royalty-free license to process, store, and use Your Content solely for the purpose of providing the service to you. We do not claim ownership of your content and will not use it for any purpose beyond operating your Concier instance.

8.3 Content Responsibility

You are solely responsible for the accuracy, legality, and appropriateness of Your Content. You warrant that:

  • You have the right to upload and use the content
  • The content does not infringe on any third-party intellectual property rights
  • The content does not violate any applicable law or regulation

8.4 Visitor Conversation Data

Conversations between your website visitors and the Concier widget are stored and attributed to your account. You are responsible for disclosing to your visitors that an AI agent is in use on your website and for obtaining any consent required by applicable law (e.g., GDPR, CCPA).

9. AI-Generated Content Disclaimer

Concier uses large language models (LLMs), including models provided by OpenAI, to generate responses. You acknowledge and agree that:

  • AI-generated responses may occasionally be inaccurate, incomplete, or outdated
  • Concier does not guarantee the accuracy of any AI-generated content
  • You are responsible for reviewing and configuring your widget to minimize misleading responses
  • Concier is not liable for any decisions made by your visitors based on AI-generated responses
  • You must not deploy Concier in contexts where AI errors could cause serious harm (e.g., medical diagnosis, legal advice, financial decisions) without appropriate human oversight and disclaimers

10. Intellectual Property

10.1 Concier's IP

All rights, title, and interest in and to Concier — including the platform, codebase, widget, dashboard, branding, and documentation — are and remain the exclusive property of Concier and its licensors. Nothing in these Terms grants you any ownership rights in the service.

10.2 Feedback

If you submit feedback, suggestions, or ideas about Concier, you grant us an irrevocable, perpetual, royalty-free license to use that feedback without any obligation to you.

10.3 Trademark

"Concier" and the Concier logo are trademarks of the service operator. You may not use them without prior written permission, except to truthfully describe your use of the service (e.g., "Powered by Concier").

11. Availability and Uptime

We strive to maintain high availability but do not guarantee uninterrupted service. Planned maintenance will be communicated in advance where possible. We are not liable for downtime caused by:

  • Third-party infrastructure or vendor failures (Cloudflare, Supabase, OpenAI, Razorpay, Resend, Google, etc.)
  • Events outside our reasonable control (force majeure)
  • Your misconfiguration of the widget or integration

We target 99.5% monthly uptime for paid plans. In the event of significant outages directly attributable to Concier, we may issue service credits at our discretion.

12. Limitation of Liability

To the fullest extent permitted by applicable law:

  • Concier is provided "as is" and "as available" without warranty of any kind, express or implied
  • We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • In no event shall Concier, its founder, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or business interruption — arising from your use of or inability to use the service
  • Our total aggregate liability to you for any claim arising out of or related to these Terms or the service shall not exceed the amount you paid to Concier in the 3 months preceding the event giving rise to the claim

Some jurisdictions do not allow certain liability exclusions. In such cases, our liability is limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Concier and its founder, officers, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from:

  • Your use of the service in violation of these Terms
  • Your Content or the configuration of your widget
  • Any claims by your website visitors related to AI responses generated through your Concier deployment
  • Your violation of any applicable law or third-party rights

14. Termination

14.1 Termination by You

You may cancel your account at any time from your dashboard settings or by emailing hello@tryconcier.com. Cancellation takes effect at the end of the current billing period for paid plans.

14.2 Termination by Us

We reserve the right to suspend or terminate your account at any time, with or without notice, if:

  • You violate these Terms or our Acceptable Use Policy
  • We reasonably believe your use poses a legal, security, or reputational risk
  • You fail to pay outstanding fees after reasonable notice
  • We discontinue the service

14.3 Effect of Termination

Upon termination, your access to the service will cease and the Concier widget will stop functioning on your website. Your data will be retained for 90 days post-termination, after which it will be permanently deleted. You may request an export of your data before deletion.

15. Governing Law and Disputes

These Terms are governed by the laws of India, without regard to conflict of law principles. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the jurisdiction of the competent courts in Bengaluru, Karnataka, India.

If you are located in the EU or another jurisdiction with mandatory consumer protection laws, those laws may also apply to you.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the Effective Date at the top of this page. For material changes, we will provide at least 14 days' notice via email before the new Terms take effect. Continued use of the service after the effective date constitutes your acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the service and cancel your account before the effective date.

17. Miscellaneous

  • Entire Agreement — These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Concier regarding the service
  • Severability — If any provision of these Terms is found unenforceable, the remaining provisions remain in full force
  • No Waiver — Our failure to enforce any right or provision does not constitute a waiver of that right
  • Assignment — You may not assign your rights under these Terms without our written consent. We may assign our rights in connection with a merger, acquisition, or sale of assets
  • Force Majeure — We are not liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, internet outages, or third-party service failures
  • Language — These Terms are written in English. Any translation is provided for convenience only; the English version controls
